FlixHouse LLC Digital Video License Agreement

This Digital Video License Agreement (this "Agreement") contains the following terms (the "Terms"). These Terms govern your use of the FlixHouse Service, your use of any software that FlixHouse makes available to users of the Service (the "Software"), and your use of the FlixHouse Website currently located at www.flixhouse.com (the "Site"). In these Terms, the Service, the Software, and the Site are collectively referred to as "FlixHouse." Please read these Terms carefully. By using FlixHouse, you are stating that you have read and understand, and agree to be bound by, these Terms. If you do not agree to these Terms, you may not use FlixHouse.

The Agreement is entered into by and between you (hereinafter referred to as "Licensor") and FlixHouse LLC. (hereinafter referred to as "Licensee"), whose address is 9018 Balboa Blvd., Suite # 527. Northridge, CA 91325.

The Terms:

1. MOTION PICTURE SPECIFICATIONS: The Feature Film or TV Series/Shows uploaded by Licensor to FlixHouse (hereinafter referred to as the "Titles").

2. MEDIA: None Exclusive internet and wireless VOD (Video On Demand) rights compromising of On-demand Rental (VOD rental), Electronic Sell-Through (EST), Transactional VOD (TVOD), advertising VOD (AVOD) and Subscription VOD (SVOD).

3. TERM: Commencing on the first day the Title is uploaded via FlixHouse.com and continuing until it is removed by either party, both Licensor and Licensee may remove the Title at any time by giving a twenty four (24) hour notice to the other party. This will allow FlixHouse to remove all marketing materials and links from social media sites related to the Title.

4. AUTHORIZED LANGUAGES: All.

5. REQUIRED DELIVERY ELEMENTS: Feature Film or TV Series (high quality resolution HD or SD), Trailer, Keyart, Metadata, Closed Captions, Subtitles for non English language films.

6. LAUNCH TIME: Between 24 to 72 hours from upload time. If after review we discover there are technical issues with your delivery materials, the launch time will be delayed.

7. BROADCASTER PLATFORMS: FlixHouse and all its channels, Apps and 3rd party platforms owned or controlled by Licensee under the brand name FlixHouse.

8. TERRITORY: Worldwide.

9. LICENSOR'S REVENUE SHARE: FlixHouse will pay you according to the following rate on a per Title basis, based on Hours Viewed by customers.

Revenue Rates Per Hour Viewed: $0.05 U.S.

"Hours Viewed" means the number of hours of a Title that is viewed by a viewer; provided that Hours Viewed will not include (and FlixHouse will not pay for) (i) more than three (3) streams of the same Title by the same account or from the same IP address and location in a given month or (ii) streams that FlixHouse determines, in its sole discretion, are not actual customer views (e.g., imitating legitimate views or click fraud) or are otherwise not authorized to access the Service.

Hours will start accruing when the Title is streamed for the first time and will continue until the Title is removed from the service.

10. ACCOUNTING: Licensee will render accounting reports and payments within thirty (30) days following each calendar quarter.

11. DISPUTE RESOLUTION: Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be determined by arbitration administered by the International Centre for Dispute Resolution in accordance with ICDR International Arbitration Rules for IFTA Arbitrations (the “Rules”) effective as of the commencement of the arbitration.

Governing Law: California. This Agreement will be governed by and interpreted under the Governing Law set forth here.

Forum: Los Angeles County, California.

The exclusive location for resolving disputes under this Agreement is the Forum set forth above. To the extent allowed by the Governing Law, venue will be proper in any court in the Forum.

12. CONFIDENTIALITY: All transactions between Licensor and FlixHouse shall be kept confidential by all parties and their agents and employees.

By accepting this Agreement, you confirm that you are at least 18 years old (or the age of majority where you reside, whichever is older) and that you are able to form a legally binding contract. If you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the legal authority to bind that company or legal entity by the terms of this Agreement.
